Soul Asylum Poetry will perform these tasks:
1. Legal and Administrative: arrange an International Standard Book Number,
( ISBN ), library cataloging,EAN/ISBN barcode, and legal deposit as deemed
appropriate by Soul Asylum Poetry, unless otherwise requested by the author.
2. Production: scan artwork, typeset the text andlayout the pages
,( guided by the authors mock up) into a master file suitable for prompt retrieval,
and on demand printing, producing a bound proof for the author to approve, and
making, without charge to the author, one hour adjustments to the layout,
and archive the masterfile for the duration of this agreement.
3. Pricing: we will determine a single copy printcost,
which the Author may order at this price-with discounts for larger orders,
and a minimum retail price to be used by the Author,
in establishing the retail price, and
4. Printing Order Filling: manufacture books on demand,
as retail and wholesale orders arereceived and fulfill orders promptly,
allowing for more time on larger orders.
5. Publicity: With the author’s input, create a web page at Soul Asylum Poetry.com.
Provide HTML codefor hyperlinking to that web page,
consignment into any of the stores currently handling
Soul Asylum Poetry books, bookmarksand color postcards,
are also available for additional fees.
6. Sales: fill orders by customers at Soul Asylum Book Store, through internet web order
form, email, phone, and mail, with volume and trade discounts provided to Soul Asylum Poetry
and to other book stores, and distributors as per Soul Asylum Poetry terms.
7. Accounting of royalties: make royalty payments on a quarterly basis to the author
for each copy of the book sold with the royalty being 70% of the gross margin retail price
less discounts, less single copy printing cost.
8. Free copies: provide 30 copies with the Soul Asylum Poetry Classic Package, and
10 copies with the Children’s Classic Package free of charge to the author.
9. The Author will perform several tasks:
provide scan ready digital art, the text as a digital file, plus a mockup with samples
to emulate and specifications for the books appearance, including size and other factors,
Promptly review the bound proof, determinea reasonable retail price with the help of Soul
Asylum Poetry.. Prepare in cooperation with the Soul Asylum Staff promotional text for
use at Soul Asylum Poetry website bookstore,and in announcements.
10. The Author Agrees:
1.To allow Soul Asylum Poetry to distribute promotional copies of the book free of charge and free of royalties to the author as Soul Asylum Poetry deems fit, providing this is at no cost to the author. 2. That Soul Asylum Poetry customer list is private and remains Soul Asylum Poetry property.
3.To assume any and all liability for content and to
hold Soul Asylum Poetry harmless from any liability arising from the content of the author and,
4. to never send or commission unsolicited emails
or link to Soul Asylum Poetry or it’s website.
11. Both Parties agree:
1. Either party may terminate this agreement at anytime on delivering immediate written notice withoutany necessary cause provided only that all outstanding compensation becomes the respective parties debt and preexisting payment obligations remain on both parties.
2. The Laws of Ontario Canada shall apply and the
parties agree to use binding arbitration in Ontario
to resolve any irreconcilable dispute between parties
3. Soul Asylum Poetry does not warrant the website
www.soulasylumpoetry.com being uninterrupted or
error free. Soul Asylum Poetry will use due diligence
and reasonable care in maintaining the site.
4. Soul Asylum can not be held responsible for lost
or damaged to materials being submitted by the author.
5. The Author give Soul Asylum Poetry the right to license and print and reproduce,
distribute and display the book world wide in paper and electronic form.
Soul Asylum may subcontract work to othercompanies as deemed necessary.
Changes to thisagreement may be necessary from time to time to
reflect the growth of Soul Asylum Poetry, and the author will be notified in such an eventuality.
This is a full agreement and all its terms.
The parties, having read and agreed to the above,
sign this document in witness of their agreement.
